Art. 1 – Website owner

The website www.microconsult.it (the "Website") is operated by Microconsult S.r.l., Via R. Corsinovi 37, 50019 Sesto Fiorentino (FI), Italy, VAT No. IT04903720482, REA 499293, share capital € 10,400.00, tel. +39 055 4493196, e-mail info@microconsult.it ("Microconsult").

"User" means anyone who visits or uses the Website.

Art. 2 – Purpose and acceptance

These Terms and Conditions (the "Terms") govern access to and use of the Website, in both its Italian and English versions. By browsing the Website the User accepts them; anyone who does not accept them is asked not to use it.

The Website is for information purposes only and presents Microconsult's business. It does not allow online purchases, orders or payments.

Art. 3 – Website content

Descriptions, images, features and performance of instruments, consumables and services (retrofit, training courses, technical service, consulting) are provided for information only. They do not constitute an offer to the public under Article 1336 of the Italian Civil Code, nor any contractual commitment.

Microconsult keeps the content up to date with care, but does not guarantee that it is always complete, accurate or current. Manufacturers and partners may change products without notice. Binding specifications, prices and conditions are only those in the written offer accepted by the customer.

Art. 4 – Used equipment (Second Hand)

Used instruments shown in the Second Hand section are sold only on the basis of a dedicated offer and subject to prior sale. Descriptions, standard equipment and accessories are indicative and depend on the availability of each individual unit.

Price reductions compared with the list price are indicative. Condition, refurbishment, any certification, warranty and price of each instrument are those stated in the offer.

Art. 5 – OCULUX and ALGOR EDGE AI™

OCULUX is a product designed and manufactured by Microconsult. OCULUX and ALGOR EDGE AI™ are distinctive signs of Microconsult. Features and functions described on the Website are indicative and may change as the product is developed.

Where OCULUX is purchased through a reseller, the sale is governed by that reseller's terms.

Art. 6 – Quote requests, contacts and applications

Requests sent through the contact form, the "Request a quote" buttons or the e-mail addresses on the Website are only meant to put the User in contact with Microconsult or to obtain an offer. They do not constitute an order and do not bind either the User or Microconsult.

Unsolicited job applications are assessed without any obligation to reply or to hire.

The User undertakes to provide truthful data and not to enter third-party data without being entitled to do so.

Art. 7 – Rules of use

The User undertakes to use the Website lawfully and not to:

• interfere with its operation or attempt unauthorised access;

• extract content in bulk or by automated means;

• transmit unlawful, offensive or harmful content through the Website (viruses, spam and the like).

Microconsult may suspend or discontinue the Website, in whole or in part, even without notice.

Art. 8 – Intellectual property

Texts, graphics, logos, images, videos and documents on the Website belong to Microconsult or to their respective owners and are protected by copyright, trademark and patent law. The trademarks of the manufacturers and partners mentioned belong to their respective owners.

Third-party content published under its own licence (for example images licensed under CC BY 4.0) remains subject to that licence and is credited to its source.

Reproduction, even partial, is prohibited without Microconsult's written consent, except for personal use and quotation with acknowledgement of the source.

Art. 9 – Downloadable documents

Technical data sheets and documents available for download on the Website are provided for information purposes and may not reflect the latest version of the product. They may not be altered or circulated in altered form as Microconsult documents.

Art. 10 – Links to external websites

The Website contains links to third-party websites, including LinkedIn, Instagram and external scientific publications. Microconsult does not control those websites and is not responsible for their content or their processing of personal data.

Art. 11 – Limitation of liability

Except in cases of wilful misconduct or gross negligence, Microconsult is not liable for damage arising from:

• the use of information published on the Website;

• interruptions, errors or unavailability of the Website;

• viruses or malfunctions of the User's systems;

• the content of linked external websites.

Art. 12 – Privacy and cookies

Personal data are processed in accordance with Regulation (EU) 2016/679 (GDPR), as described in the Website's Privacy Policy and Cookies Policy.

Art. 13 – Changes

Microconsult may amend these Terms at any time by publishing the new version on this page. Changes take effect from the date of publication.

Art. 14 – Governing law and jurisdiction

These Terms are governed by Italian law. The Court of Florence has jurisdiction over any dispute, except where the law mandatorily provides for a different court.

If any provision is held invalid, the remaining provisions remain in force. In case of discrepancy between the Italian and English versions, the Italian version prevails.
